Pakistan has more than one legal route for establishing a nonprofit organisation. The correct route depends on the organisation’s objects, founders, governance model, activities and funding plans.
Common legal structures
Depending on the organisation and jurisdiction, common routes can include a society, voluntary social welfare agency, trust or a not-for-profit company under Section 42 of the Companies Act, 2017. Each route has different authorities, documents and continuing obligations.
Decide the structure before drafting
The organisation should settle its objects, governing body, membership arrangements, office, geographic scope and funding plans before constitutional documents are finalised. A registration structure chosen only for speed can create problems later.
Registration in Islamabad
Islamabad Capital Territory Administration publishes registration requirements for NGO/NPO structures within its jurisdiction. The required documents depend on the legal route being used.
Section 42 companies
The Section 42 route is administered by the Securities and Exchange Commission of Pakistan. A Section 42 licence is required before incorporation as a not-for-profit company.
