SECP updated its Section 42 guidebook in May 2026, making the current guidebook and Companies Regulations the proper starting point for new applications.
Licence before incorporation
SECP states that a not-for-profit association must obtain a licence under Section 42 before incorporation as a company. The licensing stage should therefore be treated as a substantive legal step rather than an administrative formality.
Objects and governance
The proposed charitable or not-for-profit objects, memorandum, articles and governance arrangements should be internally consistent before the application is filed.

The SECP guidebook page records a last update of 25 May 2026. Applicants should compare their documents against the current guidebook, checklist and Companies Regulations 2024.
